El Estado, a través del FROB, posee más del 50% del capital de Sareb, constituida como una sociedad anónima. Aunque la compañía no cotiza en bolsa, sigue las normas del Buen Gobierno, aprobadas por la Comisión Nacional del Mercado de Valores (CNMV).
El Consejo de Administración establece los objetivos y supervisa la gestión que lleva a cabo el equipo directivo de la compañía. Además, el Consejo de la sociedad cuenta con dos comités especializados.

El Consejo de Administración es el máximo órgano de gobierno de Sareb. Lo conforman el presidente de la compañía, el consejero delegado, dos consejeros independientes y cuatro dominicales, entre los que se incluye el presidente del FROB.
